(CSE:VOY) (“Traveler” or “Company“) provides up-to-date information to the Company's shareholders (“Shareholders“) regarding the potential consequences of the Canadian Postal Workers Union strike (“Hit“) regarding the Company's ability to meet its obligations to deliver meeting materials to shareholders in connection with the upcoming special meeting of shareholders scheduled to be held on October 30, 2025 at 11:00 a.m. (Toronto time) (“Meeting“).
The Company delivered the notice of meeting, information circular, letter of transmittal and related proxies (“Meeting materials“) to appropriate parties for distribution to registered and unregistered shareholders prior to the meeting and has arranged for meeting materials to be delivered by courier where possible. However, due to the strike, it is possible that meeting materials will not be delivered to some shareholders prior to the meeting, particularly if your mailing address includes a PO Box. Meeting materials have been posted on SEDAR+ and are available on the Company's SEDAR+ profile at www.sedarplus.ca. Shareholders will still be able to vote their shares either directly by proxy (for registered shareholders) or indirectly through their intermediary (for unregistered shareholders who hold their shares through brokerage firms or other intermediaries).
The Meeting will consider issues of a special nature:
- a special resolution authorizing and approving the consolidation of the issued and outstanding shares of Voyageur common stock on the basis of one new share for every four existing and outstanding shares;
- a special resolution authorizing the amendment of the articles of association of Voyageur to change its name to “Evolve Royalties Ltd”. and its French version “Redevances Evolve Ltée” or any other name which Voyageur's board of directors may decide in its sole discretion and which may be acceptable to the relevant regulatory authorities; And
- a special resolution approving the Company's withdrawal from Manitoba jurisdiction in accordance with Corporations Law (Manitoba) and into the jurisdiction of Canada in accordance with Canada Business Corporations Actand the repeal and replacement of the articles of incorporation and by-laws of the Corporation in connection with these articles of incorporation and the new by-laws, respectively.
The Company will provide copies of meeting materials free of charge by email to each authorized shareholder who requests them during the strike.
