MIRABELLE, Quebec, Oct. 27, 2025 (GLOBE NEWSWIRE) — Volatus Aerospace Inc. (TSXV: FLT; OTCQB: TAKOF; Frankfurt: A3DP5Y/ABB.F) (“Volatus” or the “Company”), a Canadian leader in aerial surveillance and unmanned aircraft systems, is pleased to announce the acquisition of a suite of advanced RPAS (Remotely Piloted Aircraft Systems) technologies from Caliburn Holdings LLP., a British aerospace engineering firm. This acquisition marks an important step forward in strengthening Canada's sovereign aerospace and defense manufacturing capabilities.
The purchase price will be two million Canadian dollars ($2,000,000 CAD) (the “Purchase Price”). The purchase price will be paid in the form of Volatus Common Shares (“FLT Shares”). The Company will issue 2,631,579 shares of common stock at a 15-day weighted average price (VWAP) of ($0.76) on the date the definitive agreement is signed. One half of the FLT Shares (1,315,790) to be issued will have a normal non-trading period of 4 months from the date of issue and the other half of the FLT Shares (1,315,790) to be issued will have a non-trading period of 24 months from the date of issue. Closing is subject to Board and regulatory approval.
In addition, the Company has entered into performance bonus agreements with new employees transitioning from Caliburn to Volatus based on the issuance of RSUs in seven separate technical and revenue-related milestones pursuant to the equity incentive plan and subject to approval by the Board of Directors.
Strategic Rationale
The acquisition will provide complete aircraft designs, validated flight test data, detailed engineering documentation and assets that form the basis for a new generation of durable fixed-wing unmanned aircraft systems that will be manufactured and integrated in Canada. These aircraft are designed to meet operational needs in the defense, public safety and critical infrastructure sectors.
The acquisition is based on three scalable UAV platforms with a maximum take-off weight from 100 to 265 kg. The aircraft is capable of carrying or integrating sensors and payloads ranging from 15 to 50 kg; The flight duration will range from 12 hours per departure to 7 days of continuous flight.
These strategic, multi-mission and ultra-long-range UAVs can cover the full range of border security missions, continuous surveillance of Arctic and maritime patrols, and inspection of critical infrastructure along the right-of-way. The aircraft are modular enough to perform basic military UAV functions, either individually or as part of a squadron.
All platforms will be manufactured and integrated at the Volatus Innovation and Drone Manufacturing Facility, recently opened as part of YMX Innovation, the newly established national center of excellence for advanced aerospace systems and a cornerstone of Volatus. Made in Canada strategy located in YMX International Aerocity of Mirabel. The plant will serve as the primary site for manufacturing, integration and flight testing, supporting both domestic programs and associated export opportunities.

The original UK engineering team responsible for aircraft design will join Volatus and move to Mirabel to lead production, testing and certification. Their integration will ensure seamless transfer of technical expertise, program continuity and global market access.
